AddexBio does not release customer information to third parties unless legally required to do so.

Cookie and tracking technology are useful for gathering information such as browser type and operating system, tracking the number of visitors to the website, and understanding how visitors use the website. Terms and Conditions and Warranty

Acceptance

All sales are subject to and expressly conditioned upon the terms and conditions contained herein, and upon buyer's assent thereto. No variation of these terms and conditions will be binding upon AddexBio, unless agreed to in writing and signed by an officer or other authorized representative of AddexBio.

All products are for research use only; not a drug or for household use.

Product information

Technical data sheets may be updated periodically to include new products or for editorial revision. Seller reserves the right to discontinue products or change specifications of our products and to correct any errors, inaccuracies or omissions at any time without prior notice. In no case shall AddexBio assume any responsibility for the use or handling of the product or any liability for consequential, special, indirect or incidental damages.

Prices and Payment Terms

All prices are in U.S. Dollars. Prices are subject to change without notice. We reserve the right, without prior notice, to discontinue products, or change specifications and prices on products. Freight and insurance are prepaid and added to the invoice. Terms of sales are net 30 days of date of invoice. Written quotations are guaranteed for 30 days. Accounts 30 days past due are subject to a 1.5% late charge per month on the unpaid balance. We reserve the right to request advance payment in certain cases. The buyer is responsible for bank charges for all overseas transactions.

Taxes and Other Charges

Buyer will be responsible for payment of all taxes, duties, excise, custom, inspection and testing fees and any other charge imposed by government authority.

Hazardous Chemicals

Many chemicals are hazardous. All of products should be handled only by qualified individuals trained in laboratory procedures and familiar with the potential hazards of the chemicals. All the compounds are intended for laboratory research purposes, and NOT for drug, household or other use. Buyer is also responsible for the safe disposal of all such compounds in accordance with current legislation.

Limitation of Liability

In no event shall AddexBio be liable for indirect, incidental, special, or consequential damages, or damages of any kind incurred by the buyer or any third party, extended customs delay or customs hold that leads to reduced viability of cell lines, resulting from any use or misuse or failure of the products, even if AddexBio or any other person has been advised of the possibility of such damage, including, without limitation, liability for loss of use, loss of work, loss of work in progress, loss or revenue or profit, any liability of buyer to a third party, or any other damage or loss occasioned by such product including personal injury or property damage, unless such personal injury or property damage is caused by AddexBio's gross negligence. In no event shall AddexBio's liability for damages hereunder exceed the amount paid by the buyer for the product giving rise to the liability.

Patents

Products protected by valid patents are not offered for sale in countries where the sale of such products constitutes a patent infringement and its liability is at buyer's risk. Products currently covered by valid US Patents are offered for R&D use in accordance with 35 USC 271(e)+A13 (1). Some products may be covered by application or process patents. The customer must be responsible for determining the existence of such patents.

Warranty

Orders on many items are not reversible after commitment (i.e. confirmation of a PO invoice). Please contact customersupport@addexbio.com to discuss potential replacements.

AddexBio product is provided 'AS IS' and the viability of AddexBio products is warranted for 30 days from the date of shipment, provided that the customer has stored and handled the product according to the information included on the product information sheet, website, and Certificate of Analysis. For cell lines (Frozen or living cultures), AddexBio lists the media formulation and reagents that have been found to be effective for the product. While other unspecified media and reagents may also produce satisfactory results, a change in the AddexBio and/or depositor-recommended protocols may affect the recovery, growth, and/or function of the product. If an alternative medium formulation or reagent is used, the AddexBio warranty for viability is no longer valid. Except as expressly set forth herein, no other warranties of any kind are provided, express or implied, including, but not limited to, any implied warranties of merchantability, fitness for a particular purpose, manufacture according to cGMP standards, typicality, safety, accuracy, and/or noninfringement. If you believe an item does not grow, please contact customersupport@addexbio.com (or call (858)348-7819) for remedy. The Buyer must inspect goods immediately on receipt and inform the Seller of any shortage or damage. Quality problems must be notified within thirty (30) days of receipt. The customer pays for shipping costs on all replaced items.

Freight Policy

AddexBio is committed to delivering your order as quickly and cost-effectively as possible. For non-custom consumables products, domestic freight and/or handling is charged according to the total dollar value and shipping conditions of the products included in your order. Complex instrumentation is subject to specific accessorial/setup fees that vary by product; please contact your Account Manager for further information. If you prefer to use your own courier account, please contact us before placing the order and determine the amount they charge your company. They may not necessarily charge less than what we charge. Using your account with your own discretion and the ultimate amount the courier charge to your account is not our responsibility to pay and we do not accept charge back.

Additional fees may apply for:

(1) Products shipping on dry/wet/gel ice

(2) Products classified as hazardous materials that require special handling

(3) Unusually heavy products

(4) Expedited delivery

Cell Line Purchase and Delivery

Placing a cell line order implies acceptance of our Material Transfer Agreement, Terms and Conditions. Use of Addexbio Technologies cell line material is contingent upon awareness and acceptance of our MTA and implies consent that material will not be transferred to third parties. Cell lines are distributed either frozen in plastic ampoules on dry ice ("frozen vial") or as active, growing cell populations in T25 flasks ("growing cultures"). Shipments are dispatched early in the week (usually on Mondays or Tuesdays) to ensure arrival before the following weekend. Due to the additional labor involved, the price for growing cultures is higher than frozen cultures. While we normally recommend ordering frozen cultures, to certain destinations we can send growing cultures only, and to other destinations frozen cultures only. Material is shipped by a courier of our choice. Destinations outside the United States incur a delay for which we request your patience. Recipients are informed immediately prior to shipment. AddexBio is not liable to reduced cell viability due to customs delay or customs hold. Buyers should make sure how to clear customs in a timely manner. If they need any import permit, health certificate, or other governmental documents needed to clear customs in their destination countries, they should work with the concerned departments to facilitate transit. Buyers should also let us know if such requirements are needed and provide sufficient documents to us prior to shipment.

Cell Line Replacement Policy

Cell culture is a complex procedure requiring specific growth conditions and practical expertise. As a consequence we offer Technical Support to answer any questions you may have about the growth of your cells. All cell cultures from Addexbio have been extensively checked for microbial contamination and are fully authenticated. Addexbio warrants that cells included in the Addexbio Material shall be viable upon initiation of culture for a period of thirty (30) days after shipment thereof from Addexbio shall meet the specifications on the applicable Addexbio certificate of analysis, and/or catalog description. Such thirty (30) day period referred to herein as the "Warranty Period". Purchaser's exclusive remedy, and Addexbio's sole liability, for breach of the warranties set forth in this paragraph is for Addexbio to, at Addexbio's sole option, either (i) refund the fee paid to Addexbio for such Addexbio Material (exclusive of shipping and handling charges), or (ii) replace the Addexbio Material. Please notify Addexbio (contact information below) in the event of cultures arriving in a non-viable condition or if cells fail to grow due to unsatisfactory material. Addexbio cannot accept liability for quality problems which are: (i) reported following subculture of the cells in the customer's laboratory, or (ii) reported after recovery an already frozen cells from the customer's laboratory due to their frozen procedures), or (iii) attributable to a failure to adhere to Addexbio recommendations for media. Should the claim for replacement be deemed justified and reported within thirty (30) days after delivery, we will check the affected cell line and send a replacement as soon as possible. We also provide advice per email should cells fail to grow satisfactorily. The customer pays for shipping costs for all replaced items. Cultures lost due to inappropriate culture conditions or negligence will not be replaced. In extreme cases, frozen cells may be replaced by growing cultures (to eliminate resuscitation difficulties). Except as expressly provided above, the Addexbio Material and any technical information and assistance provided by Addexbio are provided as-is, without warranties of any kind, express or implied, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, typicality, safety, accuracy and/or non-infringement.
